For Tax & Business Advisors

DO YOUR CLIENTS KEEP UP WITH THEIR CORPORATE FORMALITIES?

Most don’t. Most don’t know they need to. And when it catches up with them, the entity itself is at risk — along with everything it was supposed to protect.

Beyond Annual State Filings

Properly maintained entities need

Governance Documents

Operating agreements, bylaws, ownership records, amendments when things change

Annual Formalities

Meeting minutes, resolutions, documentation of key business decisions

State Compliance

Annual filings, registered agent, good standing, multi-state registration

This is legal work—systematic, ongoing, and essential to making the corporate structure hold up under scrutiny.

The problem emerges during an IRS audit or lawsuit

Your client gets audited. Or sued. And suddenly their corporate structure is under scrutiny.

No operating agreement. No documented meetings in three years. No resolutions for major business decisions. The examiner or opposing counsel argues the corporation isn’t real—it’s just the owner with paperwork.

The corporate structure can be disregarded. Liability protection disappears. S-corp elections get challenged. And the client asks, “Why didn’t anyone tell me I needed to maintain this?”

The Compliance Gap

You recognize the gap, but you can’t fill it. Advising on legal compliance crosses into unauthorized practice of law. Referring to a traditional attorney often means hourly billing, complex engagements, and attorneys focused on deals, not maintenance. The result? Most clients never actually hire one. So the gap persists, and your clients remain exposed.

The Program

What's Included

The Corporate Wellness Program covers your clients’ annual formalities — resolutions, meeting minutes, governance documentation, state compliance filings, and registered agent services. Year-round access for governance questions.

Each year includes a year-end review — a standard questionnaire that prompts owners to recall key business decisions they may have forgotten to document. It’s a chance to catch what needs to be formalized and flag issues like doing business in another state before they become problems.

If your client hasn’t incorporated yet, I handle that too.

As the Business Evolves

When things change — new owners, management shifts, multi-state expansion, address changes — those updates are handled separately as needed. We scope and quote each project so your clients know the cost upfront.

Built for Your Clients

No retainers. No hourly billing. No complicated engagement. Your clients stay compliant without thinking about it — I handle the details, they focus on running their business.
